These Terms and Conditions (“Agreement”) govern all website design and related services (“Services”) provided by PRO Inside Solutions Inc. (“PRO”, “we”, “our”, or “us”) to the client (“Client”, “you”, or “your”).
By purchasing or paying for any Website Design Plan, you agree to be bound by these Terms and Conditions.
1. Services Provided
PRO offers website design and development services under different plans (Starter, Expand, and Custom), which may include domain registration, hosting, maintenance, and support as specified in each plan description.
2. Payments and Non-Refundable Policy
All setup fees and payments made to PRO are non-refundable.
Once payment is received, PRO allocates resources and time to begin the project.
No refunds will be issued for project cancellations, delays caused by the Client, or changes of mind after the design process has started.
3. Monthly Maintenance and Support
All plans that include hosting, domain, and maintenance services require a Monthly Support Fee.
If the Client cancels the support plan, PRO will no longer be responsible for updates, security, backups, or hosting availability.
If the Client later requests to transfer hosting or website management to another provider, an administrative transfer fee may apply.
The Monthly Support Fee may be adjusted annually to reflect increases in hosting or maintenance costs, with prior written notice of at least 30 days.
4. Domain and Hosting
PRO will register and manage the Client’s domain and hosting while the maintenance plan remains active.
Upon termination or cancellation, PRO will provide reasonable assistance in transferring the domain, subject to applicable administrative fees.
Domain availability is not guaranteed, but PRO will make all reasonable efforts to find the closest available option.
5. Project Timeline and Client Responsibilities
Project timelines depend on the timely delivery of information, materials, and approvals from the Client.
If the Client delays providing required content (text, images, logo, etc.), PRO reserves the right to pause or reschedule the project without refund.
Delays caused by the Client do not extend payment deadlines or alter the non-refundable nature of the setup fee.
6. Revisions and Additional Work
Each plan includes a limited number of design revisions (Starter: 2; Expand: 3).
Additional revisions, modifications, or structural changes requested by the Client may result in extra charges at PRO’s current hourly or project rates.
7. Ownership of Content and Design
The Client retains ownership of all content provided (text, images, logos, brand assets).
PRO retains ownership of the website structure, templates, and code developed until full payment is received and the maintenance plan remains active.
Templates, code, or design elements created by PRO may not be reused, resold, or transferred to third parties without written consent.
8. Liability and Service Limitations
PRO is not liable for temporary service interruptions, server downtime, or data loss resulting from factors outside its control (e.g., hosting provider maintenance, third-party failures, cyberattacks, or force majeure).
While PRO follows best practices to ensure website security, no system can be guaranteed 100% secure.
9. Termination
PRO may suspend or terminate services without liability if:
- The Client fails to make payments on time.
- The Client violates these Terms.
- The Client engages in illegal or abusive use of the website or hosting.
Upon termination, any outstanding balances remain due immediately.
10. Fees for Cancellation or Transfer
If the Client requests to cancel the maintenance plan or transfer hosting to another provider, PRO may charge reasonable administrative or service fees to complete the process.
11. Annual Price Adjustments
PRO reserves the right to adjust Monthly Support Fees annually to reflect operational or market changes.
Clients will be notified at least 30 days in advance of any rate changes.
12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
13. Acceptance of Terms
By completing a payment or purchase of any PRO Website Design Plan, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
No physical or digital signature is required for this Agreement to be valid and enforceable.
